Terms of Service

Welcome to Portfolio Scatter ("Service"), operated by Tung Vu ("we," "us," or "our"). By accessing or using Portfolio Scatter at portfolioscatter.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Description of Service

Portfolio Scatter is an educational tool for exploring portfolio risk concepts, including risk metrics, stress testing, correlation analysis, and portfolio comparison. The Service allows you to input portfolio holdings, view analytical visualizations, and optionally receive AI-powered analysis.

Portfolio Scatter is not:

  • A trading platform — we do not execute trades or connect to brokerage accounts
  • A financial advisory service — we do not provide individualized financial advice, recommendations, or endorsements
  • A fiduciary — we do not have a fiduciary relationship with you

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service.

3. Account Registration

You may use certain features without an account. To access persistent portfolio storage and additional features, you may create an account using email and password or Google OAuth.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us promptly of any unauthorized use

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Use automated tools, bots, or scrapers to access the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Misrepresent your identity or affiliation
  • Reverse engineer, decompile, or disassemble any part of the Service

5. Intellectual Property

The Service, including its design, code, visualizations, and documentation, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written permission.

6. User Content and Data

You retain full ownership of any portfolio data you input into the Service, including ticker symbols, weights, portfolio names, and descriptions. We do not claim any intellectual property rights over your portfolio data.

You grant us a limited license to process your data solely for the purpose of providing the Service to you (e.g., calculating risk metrics, generating visualizations).

7. Financial Disclaimer

All analysis is based on historical data and standard financial models, which may not predict future results. Past performance does not guarantee future results.

Specifically:

  • We are not a registered investment advisor, broker-dealer, or financial planner
  • The risk metrics, scores, and analysis provided are for educational purposes only
  • You should not make investment decisions based solely on information from this Service
  • We make no guarantees about the accuracy, completeness, or timeliness of financial data displayed
  • Market data is sourced from third-party providers and may be delayed or inaccurate
  • Consult a licensed financial professional before making any investment decisions

You acknowledge that any investment decisions you make are at your own risk, and we shall not be liable for any losses arising from your reliance on information provided by the Service.

8. AI-Powered Features

The Service may offer optional AI-powered portfolio analysis. When you use these features:

  • Your portfolio data (ticker symbols, weights, and calculated metrics) is sent to third-party AI providers (currently OpenAI) for processing
  • AI-generated analysis is educational and not financial advice
  • AI outputs may contain errors or inaccuracies
  • Third-party AI providers' terms of service also apply to their processing of your data

Use of AI features is optional and initiated only by your explicit action.

9. Third-Party Services

The Service integrates with third-party services to function. These include:

  • Convex — cloud database for storing your portfolio data
  • Google — OAuth authentication (if you choose Google sign-in)
  • Financial data providers — for market prices and economic data
  • PostHog — anonymized product analytics
  • Vercel — hosting infrastructure

Each third-party service is governed by its own terms and privacy policy. We are not responsible for the practices of these third-party services.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied
  • We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for any losses arising from investment decisions, data inaccuracies, service interruptions, or unauthorized access to your account
  • Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim (if any)

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate this agreement at any time:

  • You may delete your account by contacting us at support@portfolioscatter.com
  • We may suspend or terminate your access if you violate these Terms

Upon termination, your right to use the Service ceases. We may retain your data for a reasonable period as required by law or for legitimate business purposes, after which it will be deleted.

13. Modifications to Terms

We may update these Terms from time to time. Changes will be indicated by updating the "Effective Date" at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
